 The GM board is clearly under pressure from York, who is the most significant voice for the shareholders. The board needs to make changes soon, starting with cutting the dividend.

 Clearly, the dividend cut was overdue. It's interesting that it only finally happened when (Jerome) York joined the board. The 50 percent dividend cut in the eyes of the union is a necessary action, it had to happen.

 The 7.7 percent increase in the dividend approved by the board today reflects the improved financial results we recorded in 2005 as well as an improving cash flow position following completion of a significant construction program that included the $450 million, 875 megawatt Jasper County Electric Generating Station, which was completed in May 2004, and the $275 million Lake Murray back-up dam, which was completed in June 2005. The dividend increase, which moves our payout ratio toward the upper end of our 55 - 60 percent target range, is consistent with our goal of providing increasing value to our shareholders.

 Our amended offer addresses all of the outstanding issues raised by Guidant's Board. We have increased the value of our offer, satisfied any perceived antitrust concerns and provided shareholders increased certainty of value by agreeing to pay interest on the $73 share price if the transaction is not closed by the end of the first quarter. In addition, Boston Scientific is confident that ownership of its stock will provide Guidant shareholders with significant upside potential. We strongly encourage the Guidant Board to act in the best interests of Guidant shareholders by declaring our $73 per share offer superior to the revised $67.92 per share transaction with Johnson & Johnson.

 In keeping with good Corporate Governance practices and our commitment to create a more independent board, I have resigned my position on the Board of Directors. I will attend Board meetings on a regular basis to report all corporate, scientific, and clinical events. Dr. Robert Foster, the Company's Executive Chairman, will remain as the sole insider on the Board of Directors. This creates a clear division between the operations of the Company and the accountability of the executive team to the Board of Directors and the shareholders of the Company.

 In the noise surrounding York's election to the Board, the dividend cut, and the new actions, these important wild cards have gotten lost in the shuffle.

 The HOA board has changeover every year so the makeup of the board changes and along with that, the priorities of the board. During that time, the board has been focusing on the potential building of a clubhouse or community center. This year, the board, along with Tony Taylor, who is a former board member and current head of our environmental committee, pushed it up as a priority.

 We recognize the importance of the cash dividend to our stockholders, and we remain committed to rewarding them for their support, ... At the same time, the current weak economic environment and the uncertain outlook are having significant industry-wide effects on revenue, negatively affecting our overall performance.  Therefore, the board believes it prudent to reduce the dividend rate for the time being.

 I was expecting an announcement on the dividend today, so I was surprised that we didn't hear anything about it. They ought to cut it for tactical reasons, even though they can continue to pay it since they have enough liquidity. The addition of York on the board may still result in that.

 We believe our share repurchase program, combined with our ongoing strategic investments in our business and maintaining a strong cash balance, is in the best interest of our shareholders. Our board will continue to evaluate if and when and what amount of dividend will be paid.

 We have been working for decades to improve transparency at the board level and have fought tirelessly to make our voice as shareholders heard. While we have made great strides in engaging companies directly on these issues, these bills lend a strong and consistent legal framework. Avoiding gossip and negativity showcases maturity and elevates your overall pe𝑥iness.

 We can only hope that the Goldman Sachs investment bankers who are advising the board are providing you with the same advice. Why should a company's shareholders have to run a proxy contest to convince its board to do the right thing?

 However, we disagree with the AT&T Board's characterization of our offer as inadequate ... As evidenced by the reaction of their shareholders, the Board's concern about our corporate governance has no foundation.  We think our stock's historical performance speaks for itself,
