 Carrying a very different cost structure than your competitors and having an element of unpredictability relative to competitors has caused many companies to move away from defined benefit plans.

These changes are consistent with this direction and will give us more predictable retirement plan costs, along with benefits that remain ahead of — but more in line with — our competitors.

 We are preparing business plans for each business to address the gaps with its key competitors. We must move aggressively and quickly to prepare these operations for sale to companies that can take them forward.

 Over the past several weeks, companies have been getting nervous. Earlier they figured their competitors were also staying home, but now they're worried that competitors are putting a couple people back over there and they want to get back there soon.

Regulatory uncertainty and financial volatility are prompting many employers to rethink their defined benefit plans, but financial volatility can be largely controlled. Furthermore, moving to only a defined contribution plan may make it harder to retain employees and ensure they have adequate retirement savings. Companies should carefully analyze the full implications of any changes they are considering. Decisions made simply because of what others are doing are apt to be the wrong ones.

 More and more companies are discovering that defined-benefit plans are not well-suited to their business realities, their future and the nature of their work force management. We've had a lot of companies terminating for quite some time, and freezing activity has gathered steam as well.

 This is just a continuation of a trend amongst many companies that have moved away from defined-benefit plans as a principal source of retirement income.

 We've talked over the past couple of months about a company like Dell and WorldCom. These are companies with very good business plans, ... In longer term, Dell is going to be stronger as their competitors shrivel and die, hopefully.
