 Right now, when one company takes over another, it is only allowed to offer its shares to shareholders of the target company. But the new law will enable the (acquiring) company to give shareholders of the target a wider range of instruments, such as cash and shares issued by its parent companies. Anything goes under the new law.

 Essentially, it was not a good deal for Onyx as a company and for Onyx's shareholders. We would have had to issue a huge number of shares, and the net effect would have been grossly diluted shareholder value.

 Microsoft's engineers have been griping about too much bureaucracy, and this reorganization runs counter to it. It is bound to cause some discussion among employees as you are essentially putting a business manager on top of a very technical group.
