 After considering several offers for the company, (the board) has unanimously endorsed and is recommending that shareholders tender to the amended offer. We are satisfied the amended offer constitutes full and fair value for the company.

 I think what was reported today represents a very attractive deal to the shareholders, and would also be a very attractive deal to Ben Cohen, who owns 40 percent of the company, and to the consumers,

 We believe this suit has no merit and is simply a transparent effort to pry money from our company even though we've always provided full disclosure of all material company information to shareholders and the public.

 It looks a very attractive offer to accept. It's a full and fair price.

 This is a shareholders' issue. PLDT as a company is not really involved in this matter.

 Under Irish law, the Company is required to obtain the approval of its shareholders to buy back its own shares. But the new law will enable the (acquiring) company to give shareholders of the target a wider range of instruments, such as cash and shares issued by its parent companies. Anything goes under the new law.

 We believe the transaction and the strategic rationale for this combination are in the best interests of our patients, employees, customers and shareholders -- reflecting the full value of our firm. The combination of these two companies provides faster, more consistent revenue growth opportunities to shareholders.  We feel quite confident and satisfied that we, through a fairly robust process, have reached full and fair value in this offer from Maple Leaf for our shareholders.

 In the past month, the company had been involved in an aggressive effort to reorganize its business and focus on programs that would best meet the needs of its investors, shareholders and partners, ... While a plan to fund the company's activities as a business-to-business operation was actively underway, negotiations collapsed at the last minute. When negotiations broke down, the board determined to cease operations and is now seeking to sell the company.

 We are extending our offer to provide shareholders with a continued opportunity to tender to our $16.86 offer, which we believe represents a full and fair price.

 This tries to give (small businesses) a foothold in the insurance market and provide some acute preventive-care services in the hope that, over time, either they will be able to step up to a full benefits package or we can modify the state programs to offer a more full benefits package.
