 Our first look for the entire year of fiscal 2001 is also very encouraging, ... We currently believe that fiscal 2001's revenues could exceed fiscal 2000's by more than 50 percent, which would result in fiscal 2001 revenues of more than $3.8 billion.

 While not strictly centered on IT, the six initiatives will require entire business processes to be transferred from agencies not contracted as Centers of Excellence. As a result, agencies will focus on transitioning major programs out of their agency to a shared service provider.

 These revised covenants and conditions are definitely achievable, given reasonable market conditions, ... Our Phase II business restructuring program will enable us to create a sharper, leaner Lucent, and will enable us to return to profitability and positive cash flow during fiscal year 2002.

 As we focus Lucent on serving the largest service providers in the world, we have had to make decisions about which parts of our business do - and don't - fit that alignment. We firmly believe this business and its employees will succeed and grow as part of a company whose main focus is corporate communication networks.

 We believe that most of the issues impacting Lucent's September quarter results are company specific. Even increasing bad debt reserves because of emerging service provider credit concerns reflects Lucent's aggressive policy towards providing vendor financing.

 We are executing better in key areas of our business, and we are also encouraged by the fact that input cost inflation trends for some items are moderating following the significant cost increases we experienced in recent quarters, ... Fiscal 2006 should be a year of solid operating profit performance as we continue to improve our packaged meats operations and make our cost structure more efficient.

 Despite sharply rising energy costs, we expect our gross profit margin, before restructuring charges, to be up nicely for the year as a result of our ongoing cost-savings initiatives, improved pricing, restructuring and promotional savings.

 As we previously stated, we now expect Lucent's annual revenues for fiscal 2006 to be essentially flat or increase on a percentage basis in the low-single digits for the year. As always, we will continue to look for ways to profitably grow the business and expand our customer base, while improving our productivity.

 We expect the restructuring plan to provide ongoing cost savings and enable Lucent to break-even in fiscal Q1 2002.

 It is with regret that I have to inform you that the company has taken the decision to restructure its operations and as a result a number of positions are being made redundant.



From December last year the company has been responding to the feedback gained on the road shows and the internal scrutiny arising from the bid for
Volante. Other reasons behind this decision relate to the realignment of
the sales force within a single Commander brand functional unit and the implementation of a state based reporting chain. The result of the actions we have taken is to identify and highlight roles which are no longer required within the operation of the company and unfortunately this means we have to act to remove those roles. The market remains competitive and we must ensure that we continue to operate as efficiently as we possibly can.



Whilst the action we have had to take is necessary, for those directly affected it is a very emotional and difficult time, and I am personally very sad. Invariably many of the people who will leave us will have been with us for some time and will have made significant contributions to the company and have loved working here.



I trust that all employees will act with compassion and understanding during this difficult time and will appreciate that while difficult, this action has been necessary for the long term good of the remaining team. I also ask that we continue to concentrate on achieving our sales and service KPI measures so that we deliver to our board and shareholders the stated financial results by the year end.
