 As we hire rapidly to scale up the company, it is natural to issue a larger number of stock awards than we would otherwise. The cost to the company of these stock awards occurs only over the periods the awards vest, which is when the employees earn the related benefit.

 We're trying to take advantage of value where we can see it, and there are some obvious places. Computer Associates ( CA : Research , Estimates ) is the third-largest independent software company. It trades at a P/E multiple on forward earnings. It's about a third of Microsoft's today. It's growing at about 16, 17 percent, trades for about 13 times earnings. We think it's a very attractive asset. We think it's a great one and could go up as much as 30, 40 percent in the coming year.

 [A driller like Anadarko, Unocal has fallen out of favor recently as a result of a string of dry holes, primarily in the Gulf of Mexico. The company did announce a major gulf find in July, but the news failed to boost its stock. At $37 a share, Unocal boasts a 2.2 percent dividend yield and a P/E ratio of 11, well below its five-year average multiple of 35. Putnam New Value's David King sees little downside from here. Either the company gets its act together or it becomes a candidate for a takeover.] Shareholders benefit either way, ... I view it as a low-risk situation.

 Senior executives may find themselves facing decisions other pre-retirees don't need to consider. For instance, they may have a large portion of their net worth invested in employer stock and still feel strong ties to that employer. And for former executives who have a great deal of their net worth tied up in stock options, this can pose a dilemma: how can they balance their need to diversify with their desire to maintain involvement with the company and benefit from its future success?

 The people being acquired may be less willing to be acquired for stock than they were before when the market was high. The depressed stock prices cuts both ways. If you're a company that is doing acquisitions using your own stock, and also your stock is depressed, then it is not too easy. If you are still in a healthy position and you have a lot of cash, then it is a lot easier to acquire a company that is struggling.
