 I think the offer is great for shareholders. As of the close yesterday, the stock was already at about a 24 forward P/E, so I think this represents a pretty good exit for shareholders.

 T. Rowe Price is always looking for opportunities for potential acquisitions where we believe there is a good fit, as shareholders will be well-served and the cost is reasonable. We think this opportunity meets our criteria.

 There's too much incentive for big corporations to acquire other smaller companies and overpaying for them, rather than giving money back to shareholders.

 We have looked at the price they paid for the deals. Our conclusion is that they are not overpaying.

 There have long been rumors surrounding Lloyds as a potential bid target. Wells Fargo has a large part of its business in the retail banking arena so to take over someone like Lloyds would make a lot of sense.

 There's a reasonable expectation that at some point there will be further consolidation and Lloyds, of all the high street banks, is probably in the most tricky position in terms of how it's performed and the size of its dividend, and for that reason it's more vulnerable.

 Let's put it this way. Last March when I initiated coverage of J&J, I thought they were overpaying for Guidant. This was before problems arose from the recalls. I believe that's still the case. This has gotten to be an irrational price.

 Is a $40 price to go watch a Southeastern Conference football game reasonable? We've done our due diligence around the country. You'll see that it's more than reasonable.

 The key thing is BBVA is the one with the options, not Lloyds. BBVA needs to do something now to take advantage of higher profitability and high price/earning multiples.
