Although MGM is a valuable asset, we have decided to withdraw our bid. Unfortunately, Time Warner could not reach agreement with MGM at a price that would have represented a prudent use of our growing financial capacity.

Now, Time Warner and its shareholders will continue to benefit through our long-term licensing agreement with Premier, under which Warner Bros.' unique and diverse stable of characters and products will reach an audience approaching 40 million people and more each year through both Six Flags and Premier's theme parks.

This is a very exciting day for Time Warner and its shareholders in the creation of what we believe will be a very strong and viable 5th broadcast television network. This new network will have all the strategic asset value as an outlet for our programming that The WB presented us, but with a much firmer and more secure financial present and future. The credit goes to Barry Meyer, who continues to have tremendous vision and extraordinary business acumen as the long time leader of Warner Bros. Entertainment, a company that we are proud to say continues to be number one in its class.

I'd also like to thank Samuel for his contributions to the squad last season and wish him the best of luck in the future. Samuel is a player with valuable international experience and is a tremendous professional. As we looked at our overall team needs for 2006, though, we simply decided it was more prudent to invest our financial resources in other players.

Legislation in itself will not end the dispute, but it is prudent to take these powers to use if necessary to help reach an agreement.

The arrangement seems to be that UBS will buy Time Warner shares it seems for the voting rights but doesn't want the price risk. So, in an agreement with IMI, UBS will transfer the pricing risk to IMI.

While we are pleased that we were able to reach a tentative pilot contract, the financial implications of the agreement, coupled with the higher price of jet fuel, will further impact our results. Therefore, we expect to post a loss in the third quarter and probably in the fourth quarter as well.

I believe there are and will be major opportunities to enhance Time Warner's value in future combinations. However these transactions might not be achievable if Time Warner enters into long-term arrangements that preclude future flexibility such as an agreement regarding search functionality.

The agreement lets either party withdraw from the arbitration agreement, I think we would withdraw.

Given the critical nature of our financial situation, this provides much needed financial relief while we seek to reach a comprehensive agreement with ALPA.

AOL's best place is still inside of Time Warner. If Time Warner can make AOL work and keep it profitable, they've got a platform that can be powerful for promoting all their other media properties. I think Time Warner would rather not turn over full ownership of AOL. They're just looking for other opportunities.
