 Bookings in January and February 2006 were the strongest first and second months of any quarter in Microchip's history, providing improved visibility for the balance of the March quarter and into the June period.  Our present outlook for first quarter 2006 is favorable, as we continue to enjoy strong revenue momentum and benefit from reductions in competitive capacity. Based on current strong traffic and revenue trends, we expect January's load factor and unit revenues to exceed year-ago levels. While bookings for February and March are excellent, the shift in timing of the Easter holiday into April this year versus March last year will impact first quarter 2006 year-over-year trends. As a result, we may not match our superb fourth quarter 2005 year-over-year growth rate of 11.7 percent in first quarter 2006.

 Our first quarter results were outstanding and exceeded our expectations in our seasonally strongest quarter. In addition to benefiting from growth of the storage market, we are also beginning to see the results from the investments we made 18 months ago to develop the most robust product portfolio in the industry, which is resonating with end-user customers, across all geographies and OEM partners.  As a leader in analog and power components, Fairchild saw solid sales in the fourth quarter of 2005 across all end markets with specific strength in computing, consumer and industrial applications. Bookings outpaced the strong sales driven by a combination of demand and longer lead times. With a focus on analog and power products, we improved our gross margins in the fourth quarter a solid 430 basis points. We made excellent progress in 2005 by improving our management of the distribution channel, reducing inventories throughout the supply chain, and reducing our capital spending and ultimately depreciation expense. Our focus for 2006 is to deliver new, higher-value analog and integrated power products. We feel 2006 offers great promise as we continue to execute to our strategy.

 As a result of increased sales, product mix and expense reductions, second quarter gross margins as a percentage of revenue improved to 39 percent from 35 percent in the second quarter of 2004 and from 32 percent in the first quarter of 2005. We expect gross margin as a percentage of revenue to approximate 40 percent in the second half of 2005. We improved on our second quarter guidance of a loss of $0.08 to $0.09 per share, due mainly to the deferral of previously planned UWB investments until later this year. In addition, we reached our near-term fund raising goal and added further liquidity by obtaining approximately $4.2 million in new equity and debt financing commitments on June 20. With continued focus on managing our balance sheet, including increasing inventory turns and reducing DSOs, we intend to reduce the company's financing requirements for the fourth quarter.

 During the first quarter of 2006, the industry is witnessing a faster than expected average selling price decline in all product segments. Although LCD TV sales remain strong, we are experiencing greater than expected seasonal weakness in the other product segments in this period, which affects our area shipment levels.

 Sales continued soft during the summer quarter. We think, however, we may have touched bottom as bookings in the first quarter improved for the first time in a year.

 The fourth quarter capped a year of significant improvement for Teradyne. Throughout 2005, we had solid sequential growth in sales and bookings, strong fourth quarter profit performance in both our semiconductor test and non-semiconductor test businesses, and a much-improved balance sheet.

 The significant 55 tool bookings in Q4 2005 confirm an overall semiconductor cycle upswing. We expect the trend to be sustained in Q1 2006, with bookings at least at the same level as that of Q4 2005 and Q1 2006 sales showing important growth versus the previous quarter.

 Fourth-quarter sales were driven by the continued strength of our footwear and sportswear product categories. Outerwear sales were down in the quarter, but not to the degree initially expected, due to healthy outerwear re-orders from U.S. retail customers late in the quarter.

 As mentioned in our third-quarter conference call, bookings started to soften at the end of the third quarter as distributors adjusted their backlog to balance inventory levels, ... Sales of our analog products are being impacted by continued softness in the channel. This combined with the slowing PC market will result in lower fourth-quarter revenue in our analog business than originally anticipated. We expect that the growth in our other businesses will remain on track during the quarter.

 What we have lined up is a very aggressive calendar of blockbuster movies. This will be the channel's driver activity for the January to March quarter period of 2006.
