 When you have countries in the headlines with people in the streets, then investors and their boards of directors have to think twice.

 Finding directors of any kind is more difficult than ever. Active CEOs, who are most wanted, are often not available for board duty. Boards need a well defined process to find directors they need.

 The board structure among banks is still pretty poor. We're critical of boards that get too big and directors tell us that smaller boards are more effective.

 That is a huge obligation. With the best will in the world there is no director who is fully conversant with the 120 or so acts that affect business. We are already seeing signs that retired directors are refusing to be directors. They don't want to serve on audit committees and boards because of the risks attached.

 Although gross corporate misconduct has necessitated recent landmark regulations, there is a growing contention that the impact of these rules has been negative. Many directors believe boards have become exceedingly wary and are not taking necessary risks to drive company growth. These directors are demanding reform.

 Investors were able to see past a number of headlines, including inflated energy prices, hurricanes, terrorist bombings, and social unrest, to help equity markets turn in a year of strong performance. In local currency terms, all developed world countries landed in positive territory for 2005.

 We are not getting adequate representation. You can't get a consensus of opinion with an even number of directors. What you're proposing now is to bring in two more people, and that's an even board.  The move is clearly aimed at protecting small investors. If directors fail to convene a shareholders' meeting when necessary, investors can act on their interests and help make corporate issues transparent.

 We all understand that directors aren't required to guarantee that their fund has the lowest fees, ... But they are required to ask whether fund investors are getting their money's worth. What do independent directors know about management's costs and their profitability?

 Now that the market has had a first quarter that will make pretty big headlines, that will cause a lot of investors to exit cash positions and exit some bond positions and move that money into stocks. Investors don't want to be left out.
