We made significant strides proverb

 We made significant strides in turning around the business during 2005. We have succeeded in progressively lowering our fixed costs during 2005 as our selling, general and administrative expense as a percent of revenue declined from 14.5% in the first quarter to 12.1% in the fourth quarter. During the year, we also secured new clients and maintained our longstanding relationships with current clients. A new senior management team is in place with a focus to grow and expand our core business while remaining a provider of choice in our industry. We are encouraged with the progress we have made thus far and we will continue to seek opportunities to improve our results and diversify our revenue base in 2006.

 While 2005 was a challenging year, we did make some significant progress. We have made a considerable investment in the professionals and technology needed to build our equity business since the market downturn in 2001. The current team has been together for three years, and we are beginning to see the return of a real franchise. Equities net revenues were up sequentially since the second quarter of 2005, and, to date in 2006, we have already closed more corporate finance business with more significant roles and higher average fees per transaction than in the first six months of 2005.

 Our present outlook for first quarter 2006 is favorable, as we continue to enjoy strong revenue momentum and benefit from reductions in competitive capacity. Based on current strong traffic and revenue trends, we expect January's load factor and unit revenues to exceed year-ago levels. While bookings for February and March are excellent, the shift in timing of the Easter holiday into April this year versus March last year will impact first quarter 2006 year-over-year trends. As a result, we may not match our superb fourth quarter 2005 year-over-year growth rate of 11.7 percent in first quarter 2006.

 Growing our total online services and technology revenues by 8% from the third quarter to the fourth quarter of fiscal year 2006 is a tremendous achievement, and we are optimistic about continuing the trend of quarter-over-quarter revenue growth in the current fiscal year. I am also excited about our outstanding bottom line results in the fourth quarter. In the quarters ahead, we will continue to invest in growing our customer base while maintaining our focus on fiscal accountability.

 As a result of increased sales, product mix and expense reductions, second quarter gross margins as a percentage of revenue improved to 39 percent from 35 percent in the second quarter of 2004 and from 32 percent in the first quarter of 2005. We expect gross margin as a percentage of revenue to approximate 40 percent in the second half of 2005. We improved on our second quarter guidance of a loss of $0.08 to $0.09 per share, due mainly to the deferral of previously planned UWB investments until later this year. In addition, we reached our near-term fund raising goal and added further liquidity by obtaining approximately $4.2 million in new equity and debt financing commitments on June 20. With continued focus on managing our balance sheet, including increasing inventory turns and reducing DSOs, we intend to reduce the company's financing requirements for the fourth quarter.

 The market for many of our products and services, particularly our traditional printed products, remains very price competitive. Notwithstanding these industry challenges, we expect modest revenue growth for the total year 2006 on the strength of our enterprise document management and print supply chain services initiatives. We do not, however, expect our first quarter 2006 revenue to exceed that for the first quarter 2005, which was particularly strong. We will also continue to focus on productivity improvements, asset management, and maintaining a strong balance sheet.

 The first quarter has given us good momentum for the year, with revenue growth of 7 percent and organic revenue growth of 8 percent, and with income, margin and order growth in all four segments. Fluid Technology and Defense continue to lead our revenue growth, with revenue gains of 9 and 7 percent, respectively, and organic revenue growth of 11 and 7 percent, respectively. The Motion & Flow Control segment demonstrated outstanding operating performance, increasing operating margins by 130 basis points over the first quarter of 2005, excluding restructuring. Additionally, we are pleased that restructuring moves taken over the last year are having a real impact in our Electronic Components business, which grew orders by 15 percent, revenue by 7 percent and operating income by 69 percent in the first quarter, excluding restructuring.

 VITAS generated revenue growth of 18.8% over the prior-year period and 5.4% sequentially. Gross margins were 22.9% in the fourth quarter of 2005, a decrease of 60 basis points when compared to the prior-year quarter. The fourth-quarter 2005 gross margin includes $1.6 million in start-up losses, which is $0.1 million higher than the $1.5 million in losses from programs classified as new starts in the prior-year period. Central support costs for VITAS, which are classified as selling, general and administrative expenses in the Consolidating Statement of Income, totaled $14.1 million, including $0.1 million in OIG legal expenses. Excluding the OIG expenses, central support costs increased 7.8% when compared to the prior-year quarter and increased 2.5% sequentially.

 Daves track record of revenue growth combined with strong profitability performance in both Customer Care and Information Management reflects his deep knowledge of the business and the needs of our clients. While we are making good progress in 2005 and we remain comfortable with our 2005 revenue and earnings guidance, Daves leadership will allow us to continue to build our growth and profitability while further leveraging our unique customer care and billing value proposition.

 Although operating earnings for both the fourth quarter and the full year 2005 have improved significantly despite an increase in system fuel price of over 40 percent, we know we can do better. We will continue to contain costs, apply sound revenue management and deliver consistent service to our customers.

 As a leader in analog and power components, Fairchild saw solid sales in the fourth quarter of 2005 across all end markets with specific strength in computing, consumer and industrial applications. Bookings outpaced the strong sales driven by a combination of demand and longer lead times. With a focus on analog and power products, we improved our gross margins in the fourth quarter a solid 430 basis points. We made excellent progress in 2005 by improving our management of the distribution channel, reducing inventories throughout the supply chain, and reducing our capital spending and ultimately depreciation expense. Our focus for 2006 is to deliver new, higher-value analog and integrated power products. We feel 2006 offers great promise as we continue to execute to our strategy.

 While I'm disappointed with our earnings results in the fourth quarter, I'm very pleased with the strength of our revenue performance throughout 2005 and the solid growth momentum that we carry into the current year. As we move into 2006, we are focused on several key priorities: maintaining sales momentum in sandwich crackers and salty snacks, implementing revenue management strategies targeted at enhancing profit margins, integrating the Tom's acquisition and executing on our supply chain restructuring plan.

 Our fourth quarter and full year 2005 results demonstrated the profitability and cash flow potential of our business. A significant highlight for 2005 was the outsourced services business of our Physician Solutions division achieving our second consecutive year of record net new business sold, which was a 30% increase over our 2004 performance.

 We delivered strong operating results, exceeding our guidance in the first quarter, and we raised our guidance for the full year. Our Customer Care business continues to improve performance and expand in its markets, while our Information Management business announced several new wins and experienced growth with several existing clients. In addition, Employee Care delivered significant performance improvements and has important opportunities with several large enterprises in the pipeline.
